HYCNC (“HYCNC”) is engaged in the business of manufacturing and supplying custom-machined parts to various industries, including aerospace, automotive, medical, and electronics. By using HYCNC’s products or services, you (the “Customer”) agree to be bound by the following terms and conditions, which, together with any purchase order or online order executed by HYCNC and the Customer, constitute the entire agreement (“Agreement”) between HYCNC and the Customer.
1. Acceptance
ALL SALES ARE SUBJECT TO AND EXPRESSLY CONDITIONED UPON THE TERMS AND CONDITIONS CONTAINED HEREIN, AND UPON CUSTOMER’S ASSENT THERETO. NO VARIATION OF THESE TERMS AND CONDITIONS WILL BE BINDING UPON HYCNC UNLESS AGREED TO IN WRITING AND SIGNED BY AN AUTHORIZED REPRESENTATIVE OF HYCNC.
2. Specifications
(a) Product specifications are limited to those provided in the quotation, order confirmation, or HYCNC’s website at the time of ordering.
(b) Specifications are subject to change without prior notice. Customers must review the current specifications at the time of ordering.
(c) HYCNC provides only those documents or certifications explicitly agreed upon in writing prior to purchase. Additional requests for documentation may incur fees and are subject to HYCNC’s discretion.
(d) While HYCNC strives to provide accurate specifications, Customers must conduct their own tests to determine product suitability for specific applications. HYCNC offers sample parts for testing purposes where applicable.
3. Delivery
Delivery of all orders will be FCA (INCOTERMS 2020), with HYCNC fulfilling its obligation upon handing goods to the carrier. Shipping, handling, and special packaging fees (if applicable) will be added to the invoice. Delivery dates are estimates only, and HYCNC shall not be liable for delays beyond its reasonable control.
4. Damaged Shipments
Customers must inspect shipments upon receipt. If external damage is observed, accept the shipment only after the carrier notes the damage on the delivery receipt and an inspection is requested. For concealed damage or shortages, Customers must request a carrier inspection within fifteen (15) days of delivery. Failure to do so waives the right to claim. HYCNC reserves the right to repair, replace, or credit damaged products at its discretion.
5. Payment Terms
(a) All online and international orders require prepayment. For Customers with approved credit accounts, payment terms are net thirty (30) days from the invoice date unless otherwise agreed.
(b) Late payments are subject to a late fee of 1.5% per month or the maximum rate permitted by law.
6. Orders and Pricing
(a) All orders are subject to acceptance by HYCNC. Prices are based on HYCNC’s current pricing at the time of order acceptance.
(b) Prices exclude taxes, duties, or shipping fees, which are the Customer’s responsibility unless otherwise agreed in writing.
(c) HYCNC reserves the right to limit or cancel order quantities at its sole discretion.
7. Order Cancellation Policy
Orders may be canceled before shipment, subject to a 5% cancellation fee for standard orders or a 30% fee for custom or special orders.
8. Product Return Policy
(a) Returns require a Return Materials Authorization (RMA) number, obtainable by contacting HYCNC’s Customer Service within thirty (30) days of receipt. Authorized returns must be received within thirty (30) days of RMA issuance.
(b) Returns must include Customer name, address, order number, invoice number, date of invoice, product code, RMA number, and reason for return.
(c) Non-returnable products include: non-resalable items, custom-machined parts, special orders, or products not purchased from HYCNC.
(d) Returns are subject to:
- A 30% restocking fee for returns after seven (7) days from delivery.
- Inspection fees of $60/hour for opened or used products.
- Disposal fees for non-resalable or contaminated products.
- Non-refunded shipping, handling, or special packaging fees.
(e) Hazardous materials returns must comply with applicable regulations, with transportation charges prepaid.
9. Refused Shipments
Customers are encouraged to accept delivery and contact HYCNC for return arrangements. Refused shipments delay processing and incur non-refunded shipping and handling fees. HYCNC may charge a 15% restocking fee and deduct carrier return fees from any refund.
10. Product and Service Warranties and Limitation of Liability
(a) HYCNC warrants that products meet the agreed specifications for sixty (60) days or the warranty period stated in the product documentation, whichever is longer.
(b) HYCNC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
(c) This warranty does not cover products damaged by misuse, alteration, or improper handling by the Customer.
(d) HYCNC’s sole liability is limited to repairing, replacing, or crediting defective products, at its discretion. Replacement products are warranted for the remainder of the original warranty period or ninety (90) days, whichever is longer.
(e) For warranty service, contact HYCNC for an RMA and instructions. Products must be shipped prepaid with the RMA number visible.
(f) HYCNC SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS OR USE, EVEN IF ADVISED OF SUCH POSSIBILITIES. HYCNC’S TOTAL LIABILITY IS LIMITED TO THE PRICE PAID FOR THE PRODUCT OR SERVICE.
11. Indemnification
Customer shall indemnify and hold HYCNC harmless from claims arising from: (i) improper use of products; (ii) combination with third-party products; (iii) misuse by end-users; (iv) Customer’s actions or inactions; or (v) Customer’s breach of this Agreement.
12. Proprietary Information
Each party shall maintain the confidentiality of proprietary information provided by the other party, use it only for purposes of this Agreement, and return it upon request. Employees and agents must be bound by equivalent obligations.
13. Confidentiality and Inspection Rights
(a) HYCNC’s financial records, pricing, supplier agreements, and operations are confidential and shall not be disclosed without written consent.
(b) Customers have no right to audit HYCNC’s records or inspect facilities unless agreed in a separate written agreement.
(c) Any agreed inspections are limited to relevant records, conducted with reasonable notice during business hours.
14. Sourcing and Product Origin
(a) HYCNC may source products from any supplier or location, provided they meet agreed specifications.
(b) Product origin may vary, and HYCNC makes no guarantees unless specified in writing.
(c) Products comply with applicable regulations for the destination market, but specific origin preferences are not warranted unless confirmed.
15. Documentation and Certifications
(a) HYCNC provides only pre-agreed documents or certifications.
(b) Additional documentation requests are subject to availability and may incur fees.
(c) HYCNC does not guarantee specific certifications unless stated in the order confirmation.
(d) Orders cannot be canceled or returned due to unconfirmed documentation requirements.
16. Sample Parts for Testing and Evaluation
(a) HYCNC offers sample parts for testing purposes.
(b) Sample sales are final and non-returnable.
(c) HYCNC does not warrant suitability for specific applications; Customers must test compatibility.
(d) Larger orders following sample purchases constitute acceptance of product characteristics.
17. Miscellaneous
(a) Termination: Either party may terminate this Agreement with reasonable written notice. Customers are liable for products shipped or custom parts in inventory at termination.
(b) Force Majeure: HYCNC is not liable for delays due to events beyond its control, such as natural disasters or supply chain disruptions.
(c) Entire Agreement: This Agreement supersedes all prior communications and prevails over conflicting purchase order terms.
(d) Modification: Amendments require written consent from an authorized HYCNC representative.
(e) Severability: Invalid provisions do not affect the remainder of this Agreement.
(f) Applicable Law: This Agreement is governed by the laws of Guangdong, China, with disputes resolved in the courts of Shenzhen, China.
(g) Claims Cutoff: Claims must be filed within one (1) year of delivery or warranty issue, or they are barred.
(h) Assignment: Neither party may assign this Agreement without the other’s written consent, except to a parent, subsidiary, or successor.
(i) Relationship: The parties are independent contractors, not agents or partners.
